Welcome to attend the "Changed Approaches for a Changing Landscape——Uncertainties in Cross-border M&As and Risk Management". This is a public symposium co-hosted by the Beijing Arbitration Commission/ Beijing International Arbitration Center (BAC/BIAC) and Morgan Lewis. The China Mergers & Acquisitions Association (CMAA) is the supporting organization of this event.
随着全球化的深入发展及“走出去”战略的实施，中国企业越来越多地参与国际市场竞争。跨境并购作为全球化发展战略中的重要一环，引起了广泛关注。然而，在跨境并购交易中，存在诸多不确定因素。境内外监管环境的差异、签约和交割之间发生的影响目标公司的重大不利变化、买方尽职调查中识别的重大风险以及特殊项目可能引发的特别问题等，都会对交易结果产生决定性影响。因此，如何通过确定性保护机制的安排进行风险管控、如何通过充分准备以应对瞬息万变的交易环境成为跨境并购中需要考虑的重要问题。本次研讨会将邀请到业内专家从跨境并购的不确定环境、确定性保护机制、跨境并购保险、争议解决等各维度探讨跨境并购不确定环境的应对之道。
With the continuous globalization and implementation of "going out" strategy, more and more Chinese enterprises become increasingly active in the international competition. As an important way to go global, cross-border mergers and acquisitions (“M&As”) have attracted widespread attention. However, cross-border M&As transactions can bring numerous uncertainties resulting from differences in the domestic and foreign regulatory climate, material adverse changes, material risks identified in the due diligence process, and other special issues that may arise from individual projects. All these can have a decisive effect on a deal. Therefore, how to manage risks through the arrangement of certain protection mechanisms and how to deal with the changing investment climate have become important issues. This seminar invites leading practitioners in the field to explore the solutions for a deal certainty in the climate of uncertainties. Topics to be discussed include the uncertainties in cross-border M&As, a deal certainty protection mechanism, cross-border M&As insurance, and dispute resolution mechanisms for cross-border M&As.
